Terms of use

These terms cover the Marknote desktop app, the Marknote Sync service and its account pages, the support desk at support.marknote.md, the marknote.md website and the share viewer at share.marknote.me.
"We", "us" and "the publisher" mean Marknote Limited, a company registered in England and Wales with company number 17460221, whose registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
By installing the app, creating an account, or using the service, the support desk or the website, you accept these terms. If you do not accept them, do not use them.
Part A — The app
1. Grant of use
Subject to these terms, you may install and use Marknote on devices you own or control, for personal or commercial use, free of charge.
2. Restrictions
You may not reverse-engineer, decompile or disassemble the software except to the extent the law expressly allows; remove or alter any proprietary notices in it; or use it in any unlawful way.
3. Third-party components, plugins and themes
Marknote includes open-source components, each under its own licence; the list and the licence texts are in the app at About → Open-source licenses. Plugins and themes are made by third parties, and you choose to install them. The marketplace checks that a theme file is the one its listing describes and that its stylesheet cannot fetch or run anything; it checks nothing else. We are not responsible for what a plugin or theme does, and we may remove one from the marketplace at any time.
4. Updates
We release updates through the Microsoft Store. Updates are covered by these terms unless they come with a separate notice.
Part B — Marknote Sync
5. The service, and the beta
Marknote Sync stores and relays your encrypted notes between your devices, and lets you share notes and vaults. It is currently in beta: it is offered as it is, may change or be interrupted without notice, and we make no commitment to availability, to keeping data through the beta, or to continuing the service. We will say when that changes.
6. Your account
You must be at least 13 to hold an account. You are responsible for keeping your password and passkeys safe, for keeping your email address current (we send account mail to it, including notices about your plan), and for what is done with your account. If you think someone has used your account without your permission, tell us at once through the support desk or at support@marknote.md.
7. Your passphrase and recovery key
Your notes are encrypted with a key protected by a passphrase you choose and a recovery key the app shows you once. We never hold either, and we cannot recover your notes if you lose both. Keeping them safe is your responsibility, and the app tells you so before it lets you continue. We will not add a way around this, because any way around it would also be open to anyone who breaks into our servers.
8. Your content
You own your notes. You give us only the permission needed to store and relay them as ciphertext and to do what you ask the service to do. We cannot read them and do not try to.
When you share a note by link or share a vault with another account, you are responsible for what you share and for who you give the link or the invitation to. We cannot see the content of a share, so we act on reports without reading it: we may stop a link, remove a member's access, or suspend an account that we reasonably believe is being used to share unlawful material, to harass someone, to infringe someone's rights, or to attack the service. Where we can, we will tell you.
9. Acceptable use
Do not use the service to store or share material that is unlawful in the United Kingdom or in the country you are in; to infringe anyone's rights; to send unsolicited messages; or to probe, overload or interfere with the service, its limits or other people's accounts. Automated use of the service other than through Marknote's own apps and websites is not allowed without our agreement.
10. Plans and limits
Each plan has limits — vaults, devices, storage, share links and, on some plans, vault members — which the service applies and the account pages show. During the beta every plan is free. If we introduce paid plans, the price, the billing period and how to cancel will be shown before you choose one, and these terms will be updated to say how payment works. If a paid plan lapses, the service keeps your notes readable and stops accepting new changes after a grace period, as the account pages describe; it never deletes your notes for non-payment.
11. Suspension and termination
You may delete your account at any time from the account pages, which removes your data from our servers as the privacy policy describes. We may suspend or close an account that breaks these terms, or close accounts if we end the service; where reasonable we will give notice and time to export your data. Notes on your own devices are your files and are not affected by anything that happens to an account.

Part C — The support desk, the website and the share viewer
13. The support desk
support.marknote.md lets you open and follow support tickets with your Marknote account. Tell us what you need in plain terms, and never include a password, a passphrase or a recovery key; we will never ask for them. We aim to help, but support during the beta is given without a guaranteed response time. A ticket we have resolved closes automatically if you do not reply within seven days, and you can open a new one at any time.
14. The website
marknote.md and its pages are provided for information and for the services they carry, such as the marketplace, the playground and the status page. Content on the site is ours or used with permission; the marketplace's themes and plugins belong to their authors. Do not scrape the site or interfere with it.
15. The share viewer
share.marknote.me shows a shared note to anyone who holds its link, decrypting it in the browser. If you hold a link, you may read the note. You may not try to read notes you were not given a link to, or overload the viewer. If you find a shared note that breaks these terms, report it to support@marknote.md with the link's identifier: the part before the #. Never send the part after it.
Part D — General
16. No warranty
The app, the service, the support desk and the website are provided "as is", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these terms affects the rights you have as a consumer that the law does not allow to be limited.
17. Limitation of liability
To the fullest extent the law allows, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data, however it arises. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that the law does not allow to be excluded or limited.
18. Trade marks
"Marknote" and the Marknote logo are trade marks used by Marknote Limited (UK trade mark application UK00004440977). These terms give you no right to use them, except as needed to identify the software or the service.
19. Changes to these terms
We may update these terms. The date at the top shows the current version. Material changes are noted in the app's release notes and the website's changelog, and account holders are told by email when a change affects the service. If you keep using the app, the service or the website after a change, you accept the updated terms.
20. Governing law
These terms are governed by the laws of England and Wales. If you are a consumer, you also keep the protection of the mandatory laws of the country you live in, and you may bring a claim in its courts.
21. Entire agreement
These terms, the privacy policy and, for the app, the Microsoft Store Standard Application License Terms are the entire agreement between you and us.
